For the purposes of these Terms of Use, the following terms have the meanings set out below:
“OREA”: OREA Capital S.A., together with its successors and assigns. (www.oreacapital.com)[https://www.oreacapital.com]
“Client”: any natural or legal person who has been granted access to the Client Area. The Client may appoint a user acting under its responsibility and shall notify OREA of such appointment.
“Client Area”: the secure online area accessible from the OREA website, enabling the Client to access the information, documents and services made available to it.
“Credentials”: all elements enabling the identification and authentication of the Client, in particular its username, its password and any additional authentication device required by OREA.
“Username”: the identifier assigned or validated by OREA enabling the Client to access the Client Area.
“Password”: the confidential code chosen or validated by the Client enabling its authentication.
Depending on the features made available by OREA, the Client Area enables the Client, in particular:
OREA may supplement, modify, suspend or remove certain features of the Client Area.
The information available in the Client Area is provided for information purposes only. The valuations, performance figures and other information displayed are based on the data available at the time they are viewed and may be amended, corrected or updated.
Only statements, contract notes, transaction confirmations, reports and other documents officially issued by OREA are authoritative.
The information available in the Client Area constitutes neither investment advice, nor a personal recommendation, nor an offer or solicitation relating to any financial instrument.
OREA grants the Client a personal, revocable, non-exclusive and non-transferable right to access and use the Client Area.
The Client shall use the Client Area exclusively for its own purposes and in accordance with these Terms.
The Client Area, its content, features, structure, software, documentation and graphic elements are protected by the applicable intellectual property rights and remain the property of OREA or of their respective owners.
Except with the prior written authorisation of OREA, any reproduction, extraction, copying, adaptation, modification, distribution or exploitation, in whole or in part, of the Client Area or its content is prohibited.
These Terms supplement the General Terms and Conditions governing the business relationship and the other agreements entered into between the Client and OREA.
For any matter not expressly governed by these Terms, the other contractual provisions applicable to the business relationship shall continue to apply.
The Client shall bear the cost of the equipment, software, telecommunication services and Internet access required to use the Client Area.
OREA cannot be held liable for the equipment, software, telecommunication services or Internet access used by the Client.
Access to the Client Area depends on the availability of the IT infrastructure of OREA and its service providers.
OREA may temporarily interrupt all or part of the service, in particular for maintenance, update or security reasons.
Access to the Client Area requires the use of valid Credentials.
OREA may suspend, restrict or terminate access to the Client Area in the event of improper use, a security risk, non-compliance with these Terms, or where its legal or regulatory obligations so require.
The Credentials are strictly personal and confidential. The Client is responsible for keeping them safe and shall ensure that they are not disclosed to or used by any third party. The Client is liable for the consequences arising from any breach of its security obligations or from any use of the Client Area made possible by its fault or negligence.
The Client shall formally notify OREA, as soon as possible, of any loss, theft, suspected fraud or unauthorised use of its Credentials.
OREA implements appropriate measures to protect the Client Area and the data accessible through it. The Client nevertheless acknowledges that the risks associated with the use of the Internet and electronic communications cannot be entirely eliminated.
OREA may suspend access to the Client Area where it deems it necessary to safeguard the security of the service or of the Client’s data.
OREA uses the reasonable means necessary to ensure the proper functioning of the Client Area.
OREA cannot be held liable, in particular, for:
OREA shall not be liable for any direct or indirect damage resulting from the use of, or inability to use, the Client Area.
The Client Area may contain links to websites operated by third parties. OREA has no control over their content and accepts no liability in respect thereof.
OREA keeps an electronic record of the connections, consultations and operations carried out via the Client Area.
The computer logs and records kept by OREA constitute admissible evidence between the Parties.
The fact that the Client Area has or has not been consulted does not create any particular monitoring or intervention obligation on the part of OREA.
The consultation, downloading and provision of information or documents in the Client Area may serve as evidence of their communication to the Client.
Personal data processed in connection with the Client Area are processed in accordance with the Data Protection Notice of OREA Capital S.A., available on the OREA website.
Access to and use of the Client Area are free of charge. OREA may introduce charges subject to prior notice to the Client.
OREA may at any time amend these Terms as well as the access or operating arrangements of the Client Area.
The Client will be informed thereof by any appropriate means, in particular via the Client Area, by e-mail or by post.
A Client who does not accept these amendments may terminate its access to the Client Area before they enter into force.
These Terms take effect upon activation of the Client’s access to the Client Area and remain applicable for as long as such access is maintained.
The Client may at any time request the deletion of its access to the Client Area.
OREA may suspend or terminate access to the Client Area, in particular for reasons of security, regulatory compliance, termination of the business relationship, non-compliance with these Terms or abusive use of the Client Area.
In the event of termination of access, OREA may grant the Client a reasonable period in which to retrieve the documents and information available therein.
Termination of access to the Client Area shall be without prejudice to the other agreements entered into between the Client and OREA.
The Client acknowledges having received these Terms of Use of the Client Area, having read them and accepting their provisions.
